LINZ, Austria–(COMMERCIAL WIRE)–Fabasoft AG today signed a purchase and participation agreement for the acquisition of a majority stake in Bern-based 4teamwork AG. After full implementation of the contract, Fabasoft AG will hold 70% of the shares in the new Fabasoft 4teamwork AG.
Participation will take place in several steps. In the first place, the indirect acquisition of 21.7% of the existing shares from the previous majority shareholder is planned. Upon closing, a capital increase will take place which will increase Fabasoft AG’s stake in 4teamwork AG to approximately 58.5%.
This will be followed by a merger with Fabasoft Schweiz AG, which in turn will result in Fabasoft AG holding a 70% stake in the new Fabasoft 4teamwork AG.
Closing of the transaction is subject to customary closing conditions and is expected to occur in mid-October 2022. Work is already underway to implement the Closing Conditions.
The former CEO of 4teamwork AG, Dr. Pascal Habegger, will retain a 30% stake in Fabasoft 4teamwork AG and promote further expansion in his current role.
